Foundation History

1997 — Founding

S.E.L.T.F. Is Incorporated

The Southwest Education Leadership Training Foundation is incorporated in 1997 as a 501(c)(3) nonprofit to serve as a tax-deductible conduit for charitable giving. Its earliest mission: enabling donors to support transportation for young men attending Kappa Kamp at Pine Woods Country Day School in Mississippi — planting the seed for decades of youth investment throughout the Southwestern Province.

2009–10

First Scholarships Awarded

The Foundation awards its inaugural scholarships, beginning decades of investment in academic excellence across the Province.

Expansion

Programs Grow Province-Wide

S.E.L.T.F. expands to include graduate scholarships, the MVAC ROTC cadet award, disaster relief assistance, and youth programs including Guide Right, Kappa Kamp, and Mentor-Up.

Military & Veterans Affairs Commission (MVAC) Scholarship

This undergraduate member scholarship is awarded to contracted Reserve Officer Training Corps (ROTC) cadets who are active members of Kappa Alpha Psi Fraternity within the Southwestern Province.

MVAC Scholarship Eligibility

Applicants must be: (1) an active undergraduate member of Kappa Alpha Psi within the Southwestern Province, (2) currently contracted with an ROTC program, (3) in good academic standing, and (4) able to provide documentation of ROTC contract. Questions: foundation@seltf.org.

The 1930 Society is named in honor of the founding year of the Mighty Southwestern Province of Kappa Alpha Psi Fraternity, Inc. — established in 1930 under inaugural Polemarch Dr. Oliver W. Phillips, encompassing Arkansas, Louisiana, Mississippi, New Mexico, Texas, and Mexico.

Welcome & Introduction

Welcome to the Board of Directors of the Southwest Education Leadership Training Foundation. The Board plays a vital role in ensuring the Foundation fulfills its mission of supporting educational opportunities, leadership development, and charitable initiatives.

Mission of the Foundation

The mission of S.E.L.T.F. is to support educational advancement, leadership development, scholarships, charitable initiatives, and disaster relief efforts within the Foundation’s service area, primarily serving communities in Arkansas, Louisiana, Mississippi, New Mexico, Texas, and Mexico.

Organizational Structure — Key Leadership Roles

  • President — Provides leadership to the Board and presides over meetings.
  • Vice President — Supports the Chair and performs duties in the Chair’s absence.
  • Secretary — Maintains official records and board meeting minutes.
  • Treasurer (VP Finance) — Oversees financial management and reporting.
  • Parliamentarian — Advises the Board on matters of parliamentary procedure and governance.

Role of the Board

The Board of Directors provides strategic leadership and oversight. Primary responsibilities include: setting organizational strategy, ensuring financial accountability, supporting fundraising efforts, ensuring compliance with nonprofit laws, and evaluating programs and initiatives.

Fiduciary Responsibilities

  • Duty of Care — Board members must exercise informed judgment and actively participate in governance.
  • Duty of Loyalty — Board members must place the interests of the Foundation above personal interests.
  • Duty of Obedience — Board members must ensure compliance with applicable laws and the Foundation’s mission.

Board Meetings

Board members are expected to attend meetings regularly, prepare in advance by reviewing materials, and participate actively in discussions.

Financial Oversight

The Board is responsible for approving the annual budget, reviewing financial statements, ensuring proper internal controls, and monitoring fundraising and sponsorship efforts.

Conflict of Interest Policy
IRS-recommended policy for 501(c)(3) organizations

Article I — Purpose

The purpose of this Policy is to protect the interests of S.E.L.T.F. when contemplating any transaction or arrangement that might benefit the private interest of a director, officer, or key volunteer. This policy supplements but does not replace applicable state and federal laws governing conflicts of interest for nonprofit and charitable organizations.

Article II — Definitions

Interested Person: Any director, officer, or committee member with board-delegated powers who has a direct or indirect financial interest.

Financial Interest: A person has a financial interest if they or an immediate family member has, directly or indirectly: an ownership or investment interest in any entity with which the Foundation has a transaction; a compensation arrangement with the Foundation or related entity; or a potential ownership or compensation interest in any entity with which the Foundation is negotiating.

Article III — Duty to Disclose

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and all material facts to the Board of Directors as soon as the individual becomes aware of the potential conflict.

Article IV — Procedures

After disclosure, the interested person shall leave the board meeting while the conflict is discussed and voted upon. The remaining board members shall decide if a conflict exists. If confirmed, the Board shall investigate alternatives and may only approve the transaction if it is in the best interest of the Foundation, fair and reasonable, and approved by a majority vote of disinterested directors.

Article V — Violations

If the Board has reasonable cause to believe a member has failed to disclose a conflict, it shall inform the member and allow an opportunity to explain. The Board may take appropriate disciplinary or corrective action if necessary.

Article VI — Records

Board minutes shall document: names of persons who disclosed a financial interest, the nature of the interest, any actions taken, the Board’s decision, persons present for related votes, and the content of discussion including alternatives considered.

Article VII — Annual Statements

Each director, officer, and committee member shall annually sign a statement affirming they have received, read, and understand this policy; agree to comply; and understand the Foundation must operate consistent with its tax-exempt purposes.

Purpose

This Agreement outlines the expectations, responsibilities, and commitments of individuals serving on the Board of Directors of S.E.L.T.F. Board members play a critical role in advancing the Foundation’s mission and ensuring strong governance and accountability.

Governance & Oversight

  • Support and uphold the mission and values of the Foundation
  • Participate in strategic planning and policy development
  • Ensure the organization operates in compliance with applicable laws and regulations
  • Exercise fiduciary responsibility for the financial health and sustainability of the Foundation

Fiduciary Duties

  • Duty of Care — Act in good faith and with the level of care that an ordinarily prudent person would exercise in a similar position.
  • Duty of Loyalty — Act in the best interests of the Foundation and avoid conflicts of interest.
  • Duty of Obedience — Ensure that the organization complies with laws, regulations, and its stated charitable mission.

Meeting Participation

  • Attend and actively participate in board meetings
  • Review meeting materials prior to meetings
  • Serve on at least one committee if requested
  • Participate in board discussions and decision-making

Financial Stewardship

  • Review and approve annual budgets
  • Monitor financial reports
  • Ensure responsible stewardship of funds

Purpose

The Code of Ethics establishes standards of integrity, professionalism, and accountability for members of the Board of Directors. Board members are expected to act in ways that promote trust, transparency, and the long-term success of the Foundation.

  • Integrity — Board members shall act honestly and ethically in all matters related to the Foundation.
  • Accountability — Board members shall accept responsibility for decisions and actions taken on behalf of the organization.
  • Transparency — Board members shall promote openness and transparency in governance and financial oversight.
  • Respect — Board members shall treat fellow board members, staff, volunteers, and stakeholders with respect and professionalism.
  • Stewardship — Board members shall responsibly manage the resources entrusted to the organization.

The Corporate Sponsorship Framework provides a structured approach for developing partnerships with corporations, foundations, and philanthropic organizations that support S.E.L.T.F.’s mission. Corporate partnerships provide critical financial resources to support scholarships, leadership development, educational programming, disaster relief, and community outreach.

Sponsorship Strategy

The Foundation will pursue partnerships through: corporate philanthropy programs, Corporate Social Responsibility (CSR) initiatives, event sponsorships, and long-term strategic partnerships that create sustained educational initiatives.

Corporate Sponsorship Levels

  • Platinum Sponsor — $25,000+
    Premier partner recognition, prominent logo placement, public recognition at Foundation events, website and publications recognition.
  • Gold Sponsor — $10,000–$24,999
    Logo recognition at events, recognition in Foundation publications, website recognition.

Board Give/Get Policy
Annual financial contribution & fundraising expectations for board members

Purpose

To ensure that all Board Members actively support the financial sustainability and fundraising efforts of the Foundation.

Policy Statement

Each member of the Board of Directors is expected to make a meaningful annual financial contribution and actively participate in fundraising efforts.

Requirements

1. Annual “Give” Commitment

  • Each Board Member shall make a personally meaningful financial contribution annually.
  • The Board may establish a minimum contribution amount annually (recommended but optional to keep flexible for equity).
  • Contributions must be made by December 31 of each fiscal year.

2. “Get” Commitment (Fundraising Participation)

Each Board Member is expected to assist in securing financial support through one or more of the following:

  • Soliciting donations from individuals, corporations, or foundations
  • Securing sponsorships
  • Hosting or facilitating fundraising events
  • Leveraging professional and personal networks

3. Combined Give/Get Expectation

  • The Board may establish an annual combined Give/Get target per member (e.g., $250–$10,000 depending on board capacity).

4. Accountability

  • The Treasurer or Finance Committee shall track and report participation annually.
  • Participation will be considered during board re-nomination.

5. Equity Consideration

The Foundation recognizes varying financial capacities; participation, engagement, and effort are valued alongside monetary contributions.

Reporting misconduct safely & without fear of retaliation

Purpose

To encourage ethical conduct and provide a safe mechanism for reporting misconduct without fear of retaliation.

Policy Statement

The Foundation requires directors, officers, employees, and volunteers to observe high standards of business and personal ethics.

Reportable Concerns

  • Financial impropriety or fraud
  • Misuse of Foundation assets
  • Violations of law or regulations
  • Harassment, discrimination, or unethical conduct

Reporting Process

Reports may be made to: Board Chair, Executive Director (if applicable), or Chair of the Audit or Governance Committee. Anonymous reports are permitted.

No Retaliation

  • Retaliation against individuals who report concerns in good faith is strictly prohibited.
  • Any retaliation will result in disciplinary action, up to removal from the Board.

Investigation

  • All reports will be promptly reviewed.
  • The Board or designated committee will oversee investigations.
  • Findings and actions will be documented.

Confidentiality

Reports will be handled as confidentially as possible, consistent with the need to investigate.

The Southwestern Province of Kappa Alpha Psi Fraternity, Inc., in partnership with S.E.L.T.F. and the National Marrow Donor Program (NMDP), is mobilizing chapters across the Province to educate peers and grow the life-saving stem cell donor registry. Every registrant brings a patient one step closer to a cure.

  • Educational Session: Plan and complete a 30-minute session for campus peers to learn about NMDP. Each non-Kappa in attendance earns your chapter 2 points.
  • Response Rate: Inform those joining the NMDP Registry to respond to the post-recruitment text/email. Your chapter earns points equal to the response rate percentage.
    Example: 110 register, 85 respond = 77 points (77% response rate)
